Terms and Conditions

  • Introduction These Terms and Conditions (“Terms”) govern every access to and use of the NobleWheels.com website, companion mobile or desktop applications, showroom portals, and any related application-programming interfaces (collectively, the “Services”). Noble Wheels Ltd., a corporation incorporated under the federal laws of Canada (“Noble Wheels,” “we,” “our,” or “us”), provides turnkey procurement, customisation, and concierge support for luxury automobiles in Canada. By accessing or using the Services, you (“Client,” “you,” or “your”) confirm that you have read, understood, and agree to be legally bound by these Terms.

  • Agreement to Terms You accept these Terms when you (a) create an online account, (b) sign a purchase or brokerage mandate referencing these Terms, (c) click “I Agree,” “Accept,” or similar, or (d) otherwise use any part of the Services. If you act on behalf of a company or partnership, you represent that you have authority to bind that entity; all references to “you” include that entity. If you do not agree to every provision herein, do not use the Services.

  • Description of Services Depending on the package selected, Noble Wheels may provide:

    • Vehicle Sourcing & Brokerage – identification and acquisition of new or pre-owned luxury vehicles through global dealer and auction networks;

    • Bespoke Configuration – coordination of factory special-orders, performance upgrades, aesthetic customisations, and homologation for Canadian regulations;

    • Import & Compliance – transport logistics, customs clearance, Registrar of Imported Vehicles (“RIV”) filings, and provincial safety certification;

    • Concierge Suite – scheduled maintenance, detailing, storage, insurance facilitation, and valuation reporting; and

    • Digital Dashboard – real-time status of procurement milestones, documentation vault, and secure messaging with your account manager. Unless expressly stated in a signed mandate, Noble Wheels is not the title owner or dealer of record for vehicles; we act as an authorised agent on your behalf.

  • Client Responsibilities You agree to:

    1. provide accurate identity, contact, and payment information, including proof of funds or financing approval where required;

    2. execute all government forms and purchase contracts in a timely manner;

    3. remit deposits and balances on or before the due dates stated in your mandate or invoice;

    4. disclose any trade sanctions or export controls applicable to transactions; and

    5. inspect the vehicle (or appoint an inspector) within two (2) business days of delivery and notify Noble Wheels of any transport-related damage forthwith.

  • Limitation of Liability To the fullest extent permitted by law, Noble Wheels and its affiliates will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profit, resale value, data, or goodwill arising out of or related to the Services, even if advised of the possibility. Our aggregate liability for any claim relating to a specific vehicle will not exceed the lesser of (a) CAD 25 000 or (b) the brokerage fee paid for that vehicle. Nothing herein limits liability that cannot legally be limited, including liability for fraud or wilful misconduct.

  • Intellectual Property All software, images, videos, specifications, trademarks, and documentation on or generated by the Services are and remain the exclusive property of Noble Wheels or its licensors and are protected by Canadian and international intellectual-property laws. You may view and download documents strictly for personal or internal business reference. No logo, trade name, or content may be copied, modified, republished, or exploited without our prior written consent.

  • Governing Law and Jurisdiction These Terms are governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Toronto, Ontario, and each party irrevocably submits to that jurisdiction.

  • Termination of Access We may suspend or terminate your portal access or active mandate: (a) upon thirty (30) days’ written notice if you materially breach these Terms and fail to cure within that period; (b) immediately if required by law, regulatory order, or court judgment; or (c) if you become insolvent or cease business. Sections 5–7 and 9–11 survive any termination.

  • Refund Policy Brokerage retainers and factory-order deposits are non-refundable once Noble Wheels has placed an order with a manufacturer or third-party supplier, except where consumer-protection legislation mandates otherwise. Transport fees are refundable only if cancellation occurs before the vehicle is loaded for shipment. Storage and concierge fees are billed monthly in advance and are non-refundable after the service month has commenced.

  • Changes to Terms We may revise these Terms to reflect changes in law, industry standards, or our service model. Updated Terms will be posted on our website with a revised “Effective Date.” Material modifications take effect thirty (30) days after posting; we will also notify active Clients via email or in-portal alert. Continued use of the Services after the effective date constitutes acceptance of the amended Terms.

  • Effective Date
    These Terms and Conditions are effective as of 19 June 2025 and apply to all access to or use of the Services on or after that date.
